 
All customers of WriteDoc
agree to the following terms, which automatically come into force upon receipt
of written approval to start the project and an initial payment.

- Project.
The above-named client is engaging WriteDoc for a project type
of:

- Project
Description. Specifically, WriteDoc is being engaged
to:
- Authorization.
If required, the client hereby authorizes WriteDoc to set up
an account with an Internet Service Provider (ISP) and authorizes WriteDoc
to set up any directories required for this project. The client agrees
to pay directly to the ISP any set-up costs and ongoing service fees.
- Web-based
Documents. Unless otherwise stated herein, WriteDoc
bills all document development as follows:
- Creation of new
documents: $300/page
- Editing of existing
documents: $60/page
- Conversion of existing
documents: $10/page
- Web-based
Training. Unless otherwise stated herein, WriteDoc
bills all Web-based training course development at $600/interaction
on the assumption that each training interaction requires a single 800
pixel by 600 pixel Web page.
- Web
Page Elements. A WriteDoc Web page includes:
- Words of text supplied
by the client in their final form (up to 200 words/page); substantive
editing will be billed at $60/hour; the first Web page is billed
at $600 and additional ones are billed at $300/page
- Scanning of one
client-supplied photograph or logo (additional scanning will be
billed at $20/image)
- A single client-supplied
graphic (placement of additional graphics will be billed at $20
each)
- An email response
link to a client-supplied email address
- Up to 4 external
links
- Up to 2 hours of
consultation for page design and marketing strategy (long-distance
telephone charges are additional and will be billed at cost)
- Forms if required
(for example, a product order form) will use the writedocMail PHP-based
forms processor and will be billed at $300 each (with a maximum
of
20 items and 400 words of text); additional items (with
up to 20 words of text) will be billed at $20 each
- Publicizing of the
Web site home page via NetMechanic
or RegisterIt
- Installation on
the client’s ISP host computer
- Updating existing
content for one year (up to one hour); new content will be billed
at $60/hour; new Web pages will be billed at $300 each
- Hourly
Billing. [if appropriate]
- Hours are billed
at the rate of $ ________ in increments of 30 minutes. The total
bill for a month's time and expenses will be presented at the
end
of a month or the completion of the project, whichever comes first.
- Hourly rates cover
normal transportation expenses in the Ottawa area, a printed copy
and computer disk copy of your Web pages or documents, and Internet
charges incurred by WriteDoc.
- Fixed
Price Billing.

The client and WriteDoc agree that the project outlined above
or in the document entitled
________________________ and dated _______________ shall be accomplished
for a total of
$________________ including all attendant expenses, except as indicated
below:
- Additional
Expenses.
These might include long-distance telephone calls, connect time
and surcharges for online research, postage or package delivery charges,
scanning, graphic designer or programmer services, and other supplies
or services purchased especially for your project. You will be notified
of any additional expenses before they are incurred.
- Independent
Contractor. WriteDoc is working as an independent
contractor. WriteDoc is fully responsible for all project planning
and implementation, the selection and provisioning of all project hardware
and software, and the location where all project work is conducted.
- Legalities.
WriteDoc does not warrant that documents, training courses, Web
pages, or Web sites will meet client requirements or that document or
course contents will be error free or that the operation of Web pages
or Web sites will be uninterrupted or error-free. The entire risk as
to the content, quality, and execution of documents, training courses,
Web pages, and Web sites is with the client. In no event will WriteDoc
be liable to the client or any third party for any damages, including
any lost profits, lost savings or other incidental, consequential or
special damages arising out of the execution of or inability to access
documents, training courses, Web pages or Web sites even if WriteDoc
has been advised of the possibility of such damages.
- Subcontracting.
WriteDoc reserves the right to assign other Web designers, writers,
course developers, graphic designers or subcontractors to this project
to ensure the right fit for the project as well as on-time completion.
- Copyrights,
Trademarks, etc. The client represents to WriteDoc
and unconditionally guarantees that any elements of text, graphics,
photos, sounds, videos, programs, designs, trademarks, or other artwork
furnished to WriteDoc for inclusion in documents, training courses,
or Web pages are owned by the client, or that the client has permission
from the rightful owner to use each of these elements, and will hold
harmless, protect, and defend WriteDoc from any claim or suit
arising from the use of such elements furnished by the client.
- Assignment
of Copyright. Copyright to the assembled work of
documents, training courses, and Web pages produced by WriteDoc is
owned by WriteDoc. Upon final payment of this contract,
all rights owned by WriteDoc as to the design, text,
graphics, photos, sounds, videos, and programs in documents,
training courses, and Web pages are
assigned to the client. Rights to text, graphics, text, photos, sounds,
videos, and programs which were not produced by WriteDoc are
limited to the client's use only; the products themselves remain the
property of their respective owners.
- Fee
Payment. Fees
to WriteDoc are due and payable on the following schedule: 50%
upon acceptance of this contract, 20% after draft delivery, 20% after
beta delivery, and 10% after final delivery. If the total amount of
this contract is less than $700, $500 must be paid upon acceptance of
this contract with the remainder due after final delivery. If the client
has not secured Web space on an ISP host computer by the time Web pages,
training courses, or documents have been completed, the Web pages, training
courses, or documents may be delivered to the client on disk or attached
to an email message. Advertising Web pages to Web search engines will
be done after the final payment has been received.
- Late
Payment.
All payments must be made promptly. Delinquent bills will be
assessed a
$60 charge if payment is not received within 10 days of the due date.
If an amount remains delinquent 30 days after its due date, an
additional
5% penalty will be added for each month of delinquency. WriteDoc
reserves the right to remove documents, training courses, and Web pages
from viewing on the Internet until final payment is made. In case
collection
proves necessary, the client agrees to pay all fees incurred by that
process. This agreement becomes effective only when signed by WriteDoc.
Regardless of the place of signing of this agreement, the client agrees
that for purposes of venue, this contract was entered into in Ottawa,
Ontario, Canada and any dispute will be litigated or arbitrated in
Ottawa, Ontario, Canada.
The following person agrees to the terms of this agreement on behalf of
their business.
